These Terms of Service (“Terms”) govern the purchase and use of coaching, consulting, advisory, strategy and related services provided by Leadership Hub (“Leadership Hub,” “we,” “us,” or “our”). By purchasing a package, submitting payment, booking or participating in services, or otherwise agreeing to work with Leadership Hub, you acknowledge that you have reviewed and agree to these Terms, subject to any rights that cannot be waived under applicable law.
Leadership Hub provides guidance, recommendations, strategy, coaching and support based on the information available at the time. The client remains solely responsible for all decisions made regarding their business, career, finances, employees, contractors, customers, suppliers and other activities. The client acknowledges that they are responsible for evaluating recommendations and determining whether and how to implement them. Leadership Hub does not have decision-making authority over the client's business unless expressly agreed to in writing.
Business outcomes depend on many factors outside the control of Leadership Hub, including market conditions, competition, client execution, pricing, customer demand, financial circumstances, economic conditions and other factors. Leadership Hub does not guarantee any particular financial, business, sales, revenue, profit, growth, client acquisition or other result from coaching or consulting services. Any examples, projections, goals, strategies or potential outcomes discussed during services are for planning and educational purposes and should not be interpreted as promises or guarantees of future performance.
Leadership Hub provides business coaching and consulting services and is not acting as the client's lawyer, accountant, tax advisor, investment advisor, financial advisor, therapist or other regulated professional. Nothing provided through Leadership Hub should be considered legal, accounting, tax, investment, medical or mental-health advice. Where appropriate, clients are responsible for obtaining advice from qualified professionals before making decisions requiring specialized professional expertise.
The quality of Leadership Hub's recommendations depends in part upon the accuracy and completeness of information provided by the client. Clients agree to provide information that is accurate to the best of their knowledge and to advise Leadership Hub when relevant circumstances materially change. Leadership Hub is not responsible for consequences arising from incomplete, inaccurate, outdated or misleading information supplied by a client or third party.
Unless otherwise agreed in writing, payment is required in accordance with the payment terms stated on the applicable invoice, proposal or package. Where payment in full is required before services begin, the client's place will not be confirmed and services will not commence until payment has been received. Any applicable taxes will be added to the stated fees.
Once a session has been scheduled, it is considered a confirmed appointment. Clients may request to reschedule a session by providing at least 24 hours' notice by email. Sessions cancelled or rescheduled with less than 24 hours' notice, or sessions that the client fails to attend, may be treated as used and deducted from the client's package. If Leadership Hub must cancel or reschedule a session, reasonable efforts will be made to provide advance notice and arrange an alternative time. If Leadership Hub is unable to provide a paid service and an appropriate alternative cannot reasonably be arranged, the parties will determine the appropriate remedy in accordance with the applicable agreement and applicable law.
Unless otherwise stated in writing, coaching and consulting packages are purchased as a package rather than as individual sessions. Once services have commenced, fees are generally non-refundable, except where otherwise required by applicable law or expressly agreed to in writing. A client's decision not to use or complete all sessions included in a package does not automatically entitle the client to a refund. Any timeframe or expiry applicable to a particular package will be communicated in the applicable package description, proposal, invoice or agreement. Nothing in these Terms limits any cancellation, refund or other consumer right that cannot legally be waived.
Coaching and consulting are collaborative processes. The client is responsible for attending scheduled sessions, completing agreed-upon work, communicating relevant information, making decisions and implementing actions required to move their business forward. Leadership Hub is not responsible for delays or outcomes resulting from the client's failure to participate, provide required information, make decisions or implement agreed-upon actions.
Leadership Hub will use reasonable care to protect confidential business and personal information disclosed by clients in connection with coaching and consulting services.
Confidential information may be disclosed where required by law, where necessary to obtain professional advice or operate the business using service providers subject to appropriate obligations, or where the client has authorized disclosure. Clients are also expected to respect the confidentiality of proprietary materials, processes, strategies and information provided by Leadership Hub.
Unless otherwise agreed in writing, Leadership Hub retains ownership of its pre-existing methodologies, frameworks, templates, questionnaires, worksheets, training materials, processes and other proprietary materials. Clients may use materials provided to them for their own internal personal or business purposes. Clients may not reproduce, sell, license, distribute, publish, teach or commercially exploit Leadership Hub's proprietary materials without prior written permission. Client-specific work product and deliverables will be governed by the applicable proposal, package or written agreement where additional terms are required.
Leadership Hub may recommend or assist clients with third-party software, platforms, contractors, vendors or other service providers. Unless expressly agreed otherwise in writing, Leadership Hub does not control these third parties and is not responsible for their products, services, pricing, availability, performance, security, actions or omissions. The client is responsible for reviewing and accepting the terms applicable to any third-party product or service they choose to use.
To the maximum extent permitted by applicable law, Leadership Hub will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, data or other economic loss arising from or relating to the services. The client acknowledges that business decisions involve inherent risk and agrees that decisions made or actions taken following coaching, consulting, recommendations or discussions with Leadership Hub remain the client's responsibility.
To the maximum extent permitted by applicable law, Leadership Hub's aggregate liability arising out of or relating to a particular coaching or consulting engagement will not exceed the amount actually paid by the client to Leadership Hub for the services giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
To the extent permitted by applicable law, the client agrees to indemnify and hold harmless Leadership Hub and its owners, employees and contractors from third-party claims, damages, liabilities, costs and reasonable legal expenses arising from the client's business operations, products or services, or from the client's unlawful or unauthorized use of Leadership Hub materials, except to the extent caused by Leadership Hub's own conduct for which liability cannot legally be excluded.
Information available on the Leadership Hub website, social-media channels, newsletters, presentations and other general educational materials is provided for general informational and educational purposes. Such information does not constitute individualized business, legal, accounting, tax, investment or other professional advice. Individual circumstances vary, and users are responsible for obtaining appropriate professional advice before relying on general information where necessary.
The client agrees that agreements, invoices, notices, confirmations and other communications may be provided electronically. Where an invoice, checkout page, proposal or other purchasing process states that payment constitutes acceptance of these Terms, submitting payment confirms the client's acceptance of the Terms, subject to applicable law. Clients are encouraged to review and retain a copy of these Terms before making payment.
Leadership Hub may update these Terms from time to time. Unless otherwise permitted by law or agreed with the client, changes will not retroactively alter the material terms of a previously purchased engagement. The version applicable to an engagement will generally be the version presented or made available to the client when the agreement is entered into.
These Terms and the services provided by Leadership Hub are governed by the laws of the Province of Ontario and the applicable laws of Canada. Any dispute will be addressed in accordance with applicable Ontario law, subject to any rights or remedies that cannot legally be restricted by agreement.
